Welcome to Motiverse Global (“we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of our E-commerce Loyalty and Retention SaaS platform and related services (the “Service”), operated by Motiverseglobal LLC through motiverseglobal.com, including all associated features, software, and support offerings.

By creating an account, connecting your store, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Service.

1. Eligibility and Account Registration

1.1. Eligibility: You must be at least 18 years old and entering this agreement on behalf of a valid business entity to use our Service.

1.2. Account Responsibility: You must provide accurate, complete, and up-to-date information when creating your account. You are responsible for all activities that occur under your account and must notify us immediately of any unauthorized use.

2. The Service and Use Restrictions

2.1. Service Scope: The Service provides automated, subscription-based tools for e-commerce retention, including a loyalty engine, predictive analytics, and customer segmentation.

2.2. Lawful Use: You agree to use the Service lawfully. You may not:

Interfere with or disrupt the integrity or performance of the Service, its data, or related systems.

Use the Service to send unsolicited commercial messages (spam) or violate any anti-spam laws.

Resell, sublicense, or share access to your account or the Service with unauthorized third parties.

3. Subscription, Value-Based Billing, and Payments

3.1. Subscription Basis: Our platform operates on a recurring subscription basis (monthly or annual). By subscribing, you authorize us to charge your payment method on a recurring basis.

3.2. Value-Based Pricing: Our subscription tiers (e.g., Solo Starter, Growth Accelerator, Conversion Catalyst) are based on the Value-Based Pricing Model. Fees are calculated primarily on the number of active e-commerce contacts/customers managed within your Motiverse Global account.

3.3. Automatic Upgrades: If your active contact count exceeds the limit of your current subscription tier, your account will be automatically upgraded to the necessary higher tier to ensure continuous service. You will be immediately charged the prorated difference for the current billing cycle.

3.4. Auto-Renewal: Unless cancelled, subscriptions will automatically renew at the end of each billing cycle at the current non-promotional price.

3.5. Taxes: All prices listed are exclusive of any applicable taxes (VAT, Sales Tax). Applicable taxes will be calculated and added during the secure checkout process.

3.6. Payment Processing:
Payments are processed securely through our third-party payment processor (such as Stripe). Motiverseglobal LLC does not store full payment card details on its servers.

4. Cancellation and Refunds

4.1. Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current paid billing cycle, and you will retain access until that date.

4.2. Refund Policy (Crucial): Due to the nature of our SaaS platform and immediate service provision, we maintain a strict policy of no refunds.

Free Trial: The 14-day free trial allows you to test the service without risk; therefore, paid subscriptions are non-refundable.

No Prorated Refunds: We do not offer prorated refunds for early cancellation of monthly or annual subscriptions.

Final Sale: All recurring subscription charges are final upon renewal.

5. Intellectual Property and Data Ownership

5.1. Motiverse Global IP: All content, trademarks, software, and underlying technology of the Service are the exclusive property of Motiverseglobal LLC or its licensors. You receive only a limited, revocable license to use the Service in accordance with these Terms.

5.2. Client Data Ownership: You retain full ownership of all data, content, and information you upload or sync to the Service (i.e., your e-commerce customer data).

6. Termination

6.1. Termination by Client: You may terminate these Terms by cancelling your subscription as outlined in Section 4.1.

6.2. Termination by Motiverse Global: We reserve the right to suspend or terminate your account immediately, without prior notice or refund, if we determine you have violated these Terms (e.g., non-payment, prohibited use, or exceeding limits without upgrading).

7. Disclaimers and Service Guarantee

7.1. Disclaimer of Warranties: The Service is provided “as is” and “as available.” Motiverseglobal LLC disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2. Uptime: We aim for 99.9% uptime, but we do not guarantee uninterrupted or error-free access to the Service.

8. Limitation of Liability

8.1. Excluded Damages: To the fullest extent permitted by law, Motiverseglobal LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

8.2. Liability Cap: Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service will be limited to the amount of fees paid by you to Motiverseglobal LLC in the six (6) months preceding the event giving rise to the claim.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Mexico.

10. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and process both your Merchant data and your e-commerce customer data.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes via email or in-app notifications. Continued use of the Service after any changes constitutes your acceptance of the revised Terms.
